Confidentiality Agreement

Idealist Consulting will use confidential information only for the purpose of evaluating a business relationship between parties and will make no commercial use of this confidential information for its own or any third party's benefit.  Idealist Consulting may copy the provider's confidential information only as necessary for this purpose, and any reproduction must contain any and all notices or legends that appear in the original.  If Idealist Consulting discovers that confidential information has been used, disseminated or published in violation of this purpose, it will immediately notify the provider, take all reasonable action to minimize the impact of the use, and take any necessary steps to prevent a further breach.  On notice from the provider, Idealist Consulting will return or destroy all tangible forms of the the provider's confidential information then in its possession.
